This Consignment Policy (“Agreement”) is made and entered into on this day by and between the Consignor and the Consignee.

Collectively referred to as the “Parties.”

  1. Agreement Purpose
    The purpose of this Agreement is for the Consignor to deliver new, gently worn, new, unused South Asian ethnic wear items to the Consignee for the purpose of sale.

  2. Items for Consignment
    The Consignor agrees to consign the items as per the item description, quantity and retail price as per the valuation provided by the Consignee by e-mail.

  3. Consignment Period
    The consignment period will continue for a duration of four (4) months.

  4. Valuation and Payment
    a. Valuation of the items is based on factors such as current market resale value, trends, saleability, condition, and suitability for the Consignee’s platform. The Consignee agrees to sell the items at the valuation agreed upon by both Parties including and up to any agreed upon discounts at the Consignee’s sole discretion.
    b. The Consignee will take a commission of 40 % of the sale price of each item sold.
    c. Payment to the Consignor will be made within 7 days after the item is sold, less a payment processing fee of $7. All payments will be made by Interac e-transfer.

  5. Delivery, Dry Cleaning and Disclaimer
    a. The Consignor will deliver the items to the Consignee at the Consignor’s expense.
    b. The Consignor warrants that all items have been professionally dry-cleaned prior to delivery and will provide proof of dry-cleaning.
    c. The Consignee will take every measure to protect the Consignor’s item(s) while in their facility.  The Consignee will not be liable for damage that incurs to merchandise while on their premises due to loss, theft, fire, neglect or otherwise including general wear and tear.

  6. Unsold Items
    a. Items not sold by the end of the consignment period will be returned to the Consignor at the Consignor’s expense and must be collected within thirty (30) days of the end of the consignment agreement unless a new agreement is made at that time.
    b. The Consignee will notify the Consignor of any items that remain unsold seven (7) days before the end of the consignment period.

  7. Representations and Warranties
    The Consignor represents and warrants that they have ownership to the items and that the items do not infringe on any third party’s intellectual property rights.

  8. Indemnification
    The Consignor agrees to indemnify and hold harmless the Consignee from any claims, damages, or expenses arising out of any breach of the Consignor’s representations and warranties.

  9. Governing Law
    This Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada.

  10. Entire Agreement
    This Agreement constitutes the entire agreement between the Parties and supersedes all prior negotiations, agreements, and understandings with respect to its subject matter.
